These Terms of Service (“Terms”) govern your access to and use of the websites, products, platforms, APIs, documentation, and professional services offered by LesterTechLabs LTD (“LesterTechLabs”, “we”, “us”, or “our”), a fully remote company that takes work in any country.
By accessing or using any LesterTechLabs Service, creating an account, clicking “I agree”, or continuing to use our Services after notice of updated Terms, you agree to be bound by these Terms and our Privacy Policy and Cookie Policy, which are incorporated herein by reference. If you do not agree, you must not access or use our Services.

2. Eligibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Services. If you are under 18, you may only use the Services with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.
You represent and warrant that:
- you have the legal capacity and authority to enter into these Terms;
- your use of the Services complies with all applicable laws, regulations, and industry standards in your jurisdiction, including data protection, export control, and telecommunications laws;
- you are not located in, under the control of, or a national or resident of any country subject to comprehensive sanctions that prohibit us from providing Services; and
- you will not use the Services for any unlawful, fraudulent, or unauthorized purpose.
3. Account Registration and Security
3.1 Registration
Certain Services require you to create an Account. You agree to provide accurate, current, and complete information during registration and to keep your Account information updated. We may refuse registration, suspend Accounts, or require additional verification at our discretion.
3.2 Credentials
You are responsible for maintaining the confidentiality of your login credentials, API keys, access tokens, and any other authentication secrets associated with your Account. You must not share credentials with unauthorized persons. You are responsible for all activity that occurs under your Account, whether or not authorized by you.
3.3 Notification
You must notify us immediately at security@lestertechlabs.com if you suspect unauthorized access, credential compromise, or any security incident affecting your Account or Customer Data.
3.4 Organizational Accounts
If your Account is provisioned under an organization, your administrator may control access, permissions, billing, and data retention. Your organization’s policies may also apply to your use of the Services.
4. Description of Services
LesterTechLabs provides technology products and services including, without limitation:
- Software products — cloud-native SaaS applications for business, education, healthcare, and enterprise workflows;
- Lester PaaS — a developer cloud platform for deploying, hosting, and scaling applications;
- AI and machine learning services — including document analysis, retrieval-augmented generation (RAG), and custom AI integrations;
- API marketplace — programmatic access to LesterTechLabs and partner APIs;
- Developer tools — SDKs, CLI tools, webhooks, sandboxes, and technical documentation;
- Professional services — software engineering, DevOps, cloud architecture, AI implementation, and managed support.
We may modify, update, discontinue, or replace any part of the Services at any time. Where a change materially reduces core functionality of a paid Service you subscribe to, we will use commercially reasonable efforts to provide advance notice and, where applicable, a pro-rata refund or migration path.
Specific product features, usage limits, and service descriptions may be further defined in Documentation, pricing pages, or Order Forms. In the event of conflict between these Terms and an executed Order Form or enterprise agreement, the Order Form or enterprise agreement prevails for the covered Services.
5. Acceptable Use Policy
You agree not to, and not to permit any third party to:
- violate any applicable law, regulation, court order, or third-party rights, including intellectual property, privacy, and publicity rights;
- upload, transmit, or store unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, or discriminatory content;
- send unsolicited or unauthorized advertising, spam, or bulk messages;
- probe, scan, or test the vulnerability of any system or network without our prior written authorization;
- attempt to gain unauthorized access to Accounts, APIs, infrastructure, or data belonging to LesterTechLabs or other customers;
- interfere with or disrupt the integrity, performance, or availability of the Services, including through denial-of-service attacks, excessive automated requests, or resource abuse;
- reverse engineer, decompile, disassemble, or attempt to derive source code from the Services except to the extent expressly permitted by applicable law;
- use the Services to develop a competing product or service that substantially replicates core proprietary functionality where such use is prohibited by law or contract;
- remove, obscure, or alter proprietary notices, branding, or attribution required by Documentation or API terms;
- use the Services to process special categories of personal data (as defined under applicable data protection law) unless you have implemented appropriate legal basis, safeguards, and any required data processing agreement with us;
- use AI features to generate content that impersonates individuals, spreads misinformation in regulated contexts, or violates applicable AI governance requirements; or
- resell, sublicense, or white-label the Services unless expressly authorized in writing.
We reserve the right to investigate violations and to remove content, throttle usage, suspend Accounts, or terminate access without prior notice where we reasonably believe a violation has occurred or the Services are being misused.
6. API and Developer Platform Terms
6.1 API Access
Access to our APIs is subject to these Terms, applicable Documentation, and any rate limits, quotas, or pricing tiers associated with your Account. API keys and tokens are personal to your Account and must be kept secure.
6.2 Rate Limits and Fair Use
We may impose rate limits, concurrency caps, daily quotas, and other technical restrictions to protect platform stability. Exceeding published limits may result in throttling, temporary suspension, or additional charges according to your plan.
6.3 Attribution and Branding
Unless otherwise stated in Documentation or your Order Form, applications that publicly integrate LesterTechLabs APIs must include attribution consistent with our brand guidelines. You may not imply endorsement, partnership, or certification without our written approval.
6.4 Monitoring
We may monitor API usage for security, billing, analytics, and abuse prevention. Aggregated and anonymized usage statistics may be used to improve our Services.
6.5 Deprecation
We may deprecate or version APIs. Where reasonably practicable, we will provide advance notice through Documentation, developer announcements, or email. Continued use after a deprecation date may require migration to a supported version.
7. Subscriptions, Plans, and Billing
7.1 Plans
Paid Services may be offered on monthly, annual, usage-based, or custom enterprise terms as described on our pricing pages or Order Forms. Plan features, seat limits, storage quotas, API allowances, and support levels vary by tier.
7.2 Auto-Renewal
Unless otherwise stated, subscriptions automatically renew at the end of each billing period at the then-current price unless you cancel before the renewal date. You authorize us and our payment processors to charge applicable fees on a recurring basis.
7.3 Upgrades and Downgrades
Upgrades may take effect immediately with prorated charges. Downgrades typically take effect at the next billing cycle and may result in loss of access to features associated with the higher tier.
7.4 Usage-Based Billing
For consumption-based Services (including compute, storage, API calls, AI tokens, or bandwidth), you agree to pay for actual usage as measured by our systems, which shall be the definitive record unless demonstrably erroneous.
8. Payments, Taxes, and Refunds
8.1 Payment Methods
We accept payment by credit/debit card, bank transfer, mobile money (including M-Pesa where available), and other methods displayed at checkout or agreed in an Order Form. You must provide valid and current payment information.
8.2 Currency and Invoicing
Fees may be quoted in US dollars or another currency named on the invoice. Invoices are due according to the terms specified at purchase unless otherwise agreed in writing.
8.3 Late Payments
Overdue amounts may accrue interest at the maximum rate permitted by law or 1.5% per month, whichever is lower. We may suspend Services for accounts more than fifteen (15) days overdue after reasonable notice.
8.4 Taxes
Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for all sales, use, VAT, withholding, and similar taxes associated with your purchase, excluding taxes based on our net income.
8.5 Refunds
Except where required by law or expressly stated in an Order Form, all fees are non-refundable. If you believe you were billed in error, contact billing@lestertechlabs.com within thirty (30) days of the charge.
9. Free Trials and Promotional Access
We may offer free trials, credits, or promotional access at our discretion. Trials may require payment information and automatically convert to paid subscriptions unless cancelled before the trial ends. We may modify or discontinue trial offers at any time. Promotional credits have no cash value, are non-transferable, and expire as stated in the offer terms.
10. Intellectual Property Rights
10.1 Our Property
LesterTechLabs and its licensors retain all right, title, and interest in and to the Services, including all software, algorithms, models, designs, logos, trademarks, Documentation, and related intellectual property. No rights are granted except as expressly set out in these Terms.
10.2 Limited License
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the subscription term.
10.3 Restrictions
You may not copy, modify, distribute, sell, lease, or create derivative works of the Services except as expressly permitted. All rights not expressly granted are reserved.
11. User Content and Feedback
11.1 Customer Data
As between you and LesterTechLabs, you retain ownership of Customer Data. You grant us a worldwide, non-exclusive license to host, copy, transmit, display, and process Customer Data solely to provide, maintain, secure, and improve the Services and as otherwise permitted by our Privacy Policy and any data processing agreement.
11.2 Responsibility
You are solely responsible for the accuracy, quality, legality, and appropriateness of Customer Data and for obtaining all necessary consents and rights from data subjects and third parties.
11.3 Feedback
If you provide suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.
12. Confidentiality
“Confidential Information” means non-public information disclosed by one party to the other that is marked confidential or would reasonably be understood to be confidential, including business plans, pricing, security information, and unreleased product details.
Each party will:
- use Confidential Information only for purposes related to these Terms;
- protect it using at least reasonable care; and
- not disclose it to third parties except to employees, contractors, and advisors with a need to know and bound by confidentiality obligations.
Confidentiality obligations do not apply to information that is publicly available without breach, independently developed, rightfully received from a third party, or required to be disclosed by law (with prompt notice where legally permitted).
13. Data Protection and Privacy
Our collection and use of personal information is described in our Privacy Policy. Where we process personal data on your behalf, we will act as a data processor (or equivalent role under applicable law) and enter into a data processing agreement upon request for enterprise customers.
You agree to:
- provide appropriate privacy notices to your users;
- obtain valid consent or another lawful basis where required;
- not submit personal data to the Services in violation of applicable data protection laws; and
- configure retention, export, and deletion settings in accordance with your legal obligations.
For healthcare-related products such as MediSawa, you are responsible for compliance with applicable health data regulations in your jurisdiction, including patient consent and clinical governance requirements.
14. Service Availability and Support
14.1 Availability
We strive to maintain high availability for production Services but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, emergency patches, third-party outages, and force majeure events may cause downtime.
14.2 Service Level Agreements
Enterprise customers may be eligible for a service level agreement (SLA) as specified in an Order Form. SLAs do not apply to free tiers, trials, beta features, or professional services unless expressly stated.
14.3 Support
Support channels, response times, and scope vary by plan. Standard support is available via support@lestertechlabs.com and our documentation portal. Critical production incidents should be reported with sufficient detail to reproduce and diagnose the issue.
15. Third-Party Services and Integrations
The Services may integrate with or link to third-party platforms (such as cloud providers, payment processors, identity providers, or analytics tools). Third-party services are governed by their own terms and privacy policies. We are not responsible for third-party availability, security, or conduct. Your use of integrations may require separate accounts and fees with those providers.
16. Open Source Software
Some components of the Services may include open source software governed by applicable open source licenses. Nothing in these Terms limits your rights under those licenses. Open source license notices are available upon request or within applicable product repositories.
17. Beta, Preview, and Experimental Features
We may label certain features as alpha, beta, preview, or experimental. Such features are provided “as is”, may contain bugs, may change without notice, and are excluded from any SLA. Feedback on beta features helps us improve the Services and may be used without restriction.
18. Professional and Consulting Services
Custom software development, AI consulting, DevOps, training, and implementation services are governed by these Terms unless superseded by a signed SOW or MSA. Unless otherwise agreed:
- project timelines and deliverables are defined in the SOW;
- you will provide timely access, requirements, and approvals necessary for delivery;
- delays caused by your failure to cooperate may extend timelines and increase costs;
- prepaid professional services fees are non-refundable once work has commenced; and
- custom deliverables transfer to you upon full payment, subject to our retention of pre-existing tools, frameworks, and general know-how.
19. Marketplace and Partner Offerings
Our API marketplace or partner directory may include products and services offered by third parties. LesterTechLabs does not warrant partner offerings unless explicitly stated. Transactions with partners may be subject to separate agreements. We may receive fees or commissions from partner referrals as disclosed in marketplace listings or partner agreements.
20. Suspension and Termination
20.1 Termination by You
You may cancel subscriptions through your Account dashboard or by contacting billing support. Cancellation stops future renewals but does not entitle you to a refund for the current billing period unless required by law or your Order Form.
20.2 Termination by Us
We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, pose a security risk, or if required by law. We may also discontinue the Services entirely with reasonable notice where practicable.
20.3 Effect of Termination
Upon termination:
- your license to use the Services ends;
- you must stop using APIs and delete credentials;
- we may delete Customer Data after a retention period specified in Documentation or your plan, unless legally required to retain it; and
- sections that by their nature should survive (including payment obligations, confidentiality, IP, disclaimers, limitation of liability, and dispute resolution) remain in effect.
You may export Customer Data before termination where export functionality is available. We are not obligated to maintain data indefinitely after account closure.
21. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, we do not warrant that:
- the Services will meet your requirements or produce specific business outcomes;
- AI-generated outputs will be accurate, complete, unbiased, or suitable for regulated decision-making without human review;
- the Services will be uninterrupted, secure, or free from errors or harmful components; or
- defects will be corrected within a particular timeframe.
Any material, information, or advice obtained through the Services is at your own risk.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- LESTERTECHLABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND
- LESTERTECHLABS’ TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO LESTERTECHLABS FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS (USD $100).
Some jurisdictions do not allow certain limitations of liability. In such cases, our liability is limited to the fullest extent permitted by law.
23. Indemnification
You agree to defend, indemnify, and hold harmless LesterTechLabs, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- your use of the Services;
- Customer Data or content you submit;
- your violation of these Terms or applicable law; or
- your infringement or misappropriation of third-party rights.
We will promptly notify you of any claim subject to indemnification and cooperate at your expense. We may participate in the defense with counsel of our choice at our own expense.
24. Dispute Resolution and Governing Law
24.1 Governing Law
These Terms are governed by the laws agreed in the applicable statement of work. Where no statement of work names a law, the mandatory law that protects you still applies.
24.2 Informal Resolution
Before initiating formal proceedings, the parties agree to attempt good-faith resolution by contacting legal@lestertechlabs.com and allowing thirty (30) days to negotiate a resolution.
24.3 Jurisdiction
Subject to any mandatory consumer protection rules that apply to you, disputes are heard in the forum named in the statement of work. If none is named, the parties will agree a forum in writing before either starts a case.
24.4 Class Action Waiver
To the extent permitted by law, disputes must be brought on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
25. Force Majeure
Neither party is liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, power outages, pandemics, or failures of third-party hosting providers, provided the affected party uses reasonable efforts to mitigate impact and resume performance.
26. General Provisions
26.1 Changes to Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date and, where appropriate, notified via email or in-product notice. Continued use after the effective date constitutes acceptance. If you do not agree to updated Terms, you must stop using the Services.
26.2 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets with notice to you.
26.3 Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be replaced with a valid provision that most closely reflects the original intent.
26.4 Waiver
Failure to enforce any provision is not a waiver of that provision or any other provision.
26.5 Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Documentation, and any applicable Order Form, constitute the entire agreement between you and LesterTechLabs regarding the Services and supersede prior or contemporaneous agreements on the same subject matter.
26.6 Language
These Terms are written in English. Any translated version is provided for convenience only. In case of conflict, the English version prevails.
